GENERAL BUSINESS TERMS AND CONDITIONS of GUMEX, spol. s r.o.

 

  1.  Introductory Provisions

 

  1. These General Business Terms and Conditions (hereinafter the “Terms and Conditions”) define the mutual rights and obligations of the seller and of the buyer that arise in connection with or on the basis of a purchase contract or a contract for work entered into between GUMEX, spol. s r.o., Company ID No. 49975366, and the buyer and the ordering party.
     
  2. The seller and the contractor is GUMEX, spol. s r.o., a business company with its registered office at Strážnice, Za Drahou 1856, Post Code 696 62, Company ID No. 49975366, recorded in the Companies Register kept by the Regional Court in Brno, Section C, File No. 13953 (hereinafter “GUMEX”). GUMEX, spol. s r.o. is an entrepreneur who directly or through other entrepreneurs delivers goods or provides services to the buyer.   1.    The buyer and the ordering party must be an entrepreneur (hereinafter collectively the “customer”).

 

An entrepreneur means a person who independently carries out on their own account and responsibility a gainful activity in the form of a trade or in a similar manner with the intention to do so consistently for the purposes of achieving a profit. An entrepreneur also means every person who enters into contracts related to their own commercial, production or similar activities or while independently carrying out their profession, or a person acting in the name or for the account of an entrepreneur.
 

4.      All contractual relations are entered into in accordance with the laws of the Czech Republic.
 

5.      Provisions deviating from these Terms and Conditions may be agreed in an individual purchase contract or contract for work. Any deviating provisions in these individually agreed contracts shall have preference over the provisions of these Terms and Conditions.

6.      The provisions of these Terms and Conditions form an integral part of each purchase contract and contract for work concluded while these Terms and Conditions are in force and effect, regardless of the form in which these contracts were concluded.

7.      GUMEX has the right to change these Terms and Conditions. Any change to these Terms and Conditions will be published by GUMEX by posting it on its website in the section Business Terms and Conditions or in another appropriate manner. GUMEX may especially change the prices of goods, payment and delivery terms and the costs of transporting goods to customers. A customer who has entered with the seller into a contract that imposes an obligation to perform repeatedly has the right to refuse the change to the Terms and Conditions and to terminate the contract for this reason, but no later than fourteen (14) days after the changes to the Terms and Conditions are to take effect. The notice period is thirty (30) days and will start on the first day of the month following the delivery of a termination notice. If the customer fails to exercise the right of termination in a timely manner, the customer will be deemed to have accepted the change to the Terms and Conditions. If the customer exercises the right of termination in a timely manner, the contractual relationship shall continue to be governed by the present Terms and Conditions until expiry of the termination period. No change to the Terms and Conditions shall affect the parties’ rights and obligations arising during the force of the previous version of these Terms and Conditions.

            II. A Orders

 

  1. Orders for goods and services are received: in person on the premises of GUMEX, in writing, by e-mail, via e-shop or by telephone.

 

  1. Particulars of the order (does not apply to a one-time purchase of goods on the seller’s premises without prior order):
  • name of the entrepreneur or commercial name, registered office, Company ID No.; to the first order, the customer shall also enclose a copy of the most recent extract from the Companies Register or, if appropriate, a copy of their trade certificate,
  • quantity and type of the required goods, purchase price,
  • date, place and the required method of delivery,
  • customer’s contact details: e-mail and telephone.
  1. The customer may order all the delivered goods via the e-shop situated on the website www.gumex.cz. If necessary, customers may contact the customer helpline.

 

  1. The sales department of GUMEX is fully available to customers and provides qualified answers to all customer inquiries, especially in the following cases:
  • when the customer is unsure about the suitability of a selected product for the relevant application,
  • when the customer did not find the product in the catalogue,
  • when a non-standard solution is needed for the customer’s application,
  • the need for consultations or visits by a specialist on the customer’s premises,
  • any questions regarding the GUMEX product range and services.

 

            II. B Conclusion of the Purchase Contract

 

  1. The proposal to conclude a purchase contract is an order placed by the customer. GUMEX will notify the customer of the acceptance of the order and the price of goods, including shipping and packing costs. The purchase contract is concluded by the customer’s binding consent with the final price of goods, including packing and shipping costs. The display of goods in a catalogue is not deemed as an offer within the meaning of Section 1732 of the Civil Code.

 

  1. By placing an order, the customer acknowledges that they have read and agreed to the Terms and Conditions, as in force and effect at the time of sending the order, including the price of the ordered goods stated in the confirmed order. A copy of the Terms and Conditions will be handed over to the customer in an appropriate manner upon acceptance of the order, depending on the ordering method (as part of a written purchase contract, in printed form, as an attachment to an e-mail acknowledging order acceptance, etc.).

 

  1. Purchase contracts are concluded in the Czech language. If a purchase contract or these Terms and Conditions is/are translated to another language at the request of the customer, then the interpretation of the purchase contract and of the Terms and Conditions in the Czech language shall prevail in the event of any dispute over interpretation.

            II. C Changes and Cancellation of the Purchase Contract
 

  1. A concluded purchase contract may only be changed or cancelled by an agreement of the parties or on legal grounds.

 

  1. GUMEX reserves the right to refuse an order or part thereof before concluding a purchase contract or to cancel an already concluded purchase contract in these cases: the relevant goods are no longer manufactured or supplied or the price of the goods has changed significantly and the customer does not accept the new price. If the customer has already paid the purchase price or part thereof, this amount will be refunded to them without undue delay.

 

  1. GUMEX also reserves the right to refuse an order or part thereof before concluding a purchase contract in the event of a repeat order placed by a customer who has not properly fulfilled its contractual obligations in a previous business relationship.

            II. D Minimum Purchase Quantity

 

  1. For certain goods held in stock, the minimum quantity to be purchased is limited by the nature of the product. When purchasing such limited goods, the delivered quantity will be consulted with the customer on a case-by-case basis.  
     
  1. Price of Goods

            III. A Price of Goods

 

  1. Information on the price of goods is presented by GUMEX on its website. These prices are binding, with the exception of obvious errors. Goods will be delivered to the customer at the price valid at the time of ordering, with the customer accepting the price of goods by their ordering. The price of goods is deemed to have been agreed upon conclusion of the purchase contract.

 

  1. If the customer purchases goods for which we indicate a possible price increase in the product description on our website due to cutting of non-standard length, we reserve the right to change the final price. This increase is usually 15% and is not applied if the customer purchases the remainder from stock or the entire package. The customer will be informed in advance of such a change and will have the opportunity to withdraw from the purchase contract.

 

  1. Value added tax (VAT) at the current statutory rate is always added to the price of goods. The costs of packing goods, insurance and shipping are also added to the price of goods; these costs are not charged by the seller if goods are collected in person on the seller’s premises. More detailed conditions are set out in Article VIII below.

 

  1. Prices and technical specifications of goods are subject to change.

 

  1. Before placing an order and concluding a purchase contract, the customer has the option to learn the total price of goods including VAT and the costs of packing, insurance and shipping of goods. This price will be stated in the order and in the message acknowledging receipt of the order for goods or in the purchase contract.

 

  1. The provisions of this Article shall be without prejudice to the option of GUMEX to enter into a purchase contract under individually agreed terms. 

            III. B Providing Discounts

  1. GUMEX may provide a commercial discount on goods intended for resale – for this purpose, the customer may contact the GUMEX sales department. Further discounts for wholesale customers and dealers will be provided by GUMEX after a personal meeting. The promotional prices are valid until the stock of promotional goods is sold out or for a specified period of time.

 

  1. Contract for Work

            IV. A Orders

  1. Orders for execution of a work are received: in person on the premises of GUMEX, in writing, by e-mail or by telephone.
     
  2. Particulars of the order:
    • name of the entrepreneur or commercial name, registered office, Company ID No.; to the first order, the customer shall also enclose a copy of the most recent extract from the Companies Register or, if appropriate, a copy of their trade certificate,
    • quantity and type of the required work
    • date, place and the required method of delivery,
    • the customer’s contact details: e-mail and telephone.
       
  3. GUMEX undertakes to carry out, at its own expense and risk, for the customer the work that is specified in an order confirmed by the customer.
     
  4. The GUMEX sales department is fully available to customers and will provide qualified answers to all customer inquiries, especially in the following cases:
    • when the customer is unsure about the suitability of a selected product or procedure for execution of the work,
    • when a non-standard solution is needed for execution of the work for the customer,
    • the need for consultations or visits by a specialist on the customer’s premises,
    • any questions concerning the product range and processes of GUMEX.
       

              IV. B Entering into a Contract for Work
 

  1. The proposal to conclude a contract for work is an offer made by GUMEX on the basis of the customer’s order placed via the form on the GUMEX website, in person at a branch office, by e-mail or by telephone. The contract for work is concluded upon delivery of the customer’s binding acceptance of the offer including the price.
     
  2. By acceptance of GUMEX’s offer the customer confirms that they have read and agreed to the Terms and Conditions, in the version valid and effective at the time of the order and that they agree with the price of the work indicated in the offer. A copy of the Terms and Conditions will be handed over to the customer in an appropriate manner upon acceptance of the offer depending on the method of inquiry (as part of a written contract for work, in printed form, as an attachment to an e-mail acknowledging receipt of the order, etc.).
     
  3. The contract for work is concluded in the Czech language. If the contract for work or these Terms and Conditions are translated into another language at the request of the customer, the interpretation of the contract for work and of the Terms and Conditions in the Czech language shall prevail in the event of a dispute.

 

             IV. C  Changes and Cancellation of the Contract for Work

 

  1. A concluded contract for work may only be changed or cancelled by an agreement of the parties or on legal grounds.
     
  2. If execution of the work requires assistance of the customer, GUMEX will set a deadline for providing such assistance. If the deadline expires in vain, GUMEX will have the right to either obtain a substitute assistance at the customer’s expense, or, upon giving notification to the customer, to withdraw from the contract.
     
  3. GUMEX reserves the right to refuse an order or part thereof before entering into a contract for work or to withdraw from an already concluded contract for work in these cases:
    1. the goods that are necessary for execution of the work are no longer manufactured or supplied or the price of the goods has changed significantly and the customer does not accept the new price. If the customer has already paid the price or part thereof, this amount will be refunded to them without undue delay.
    2. if the work cannot be executed properly due to unsuitability of any item supplied by the customer or according to the customer’s order. If execution of the work has already begun, GUMEX will suspend execution of the work until the item is exchanged or until the customer’s order is changed. If the customer insists on executing the work according to a manifestly inappropriate order or by using a manifestly inappropriate item, then GUMEX will have the right to withdraw from the contract.
  4. GUMEX also reserves the right to refuse an order or part thereof before entering into a contract for work in the event of a repeat order placed by a customer who has not properly fulfilled its contractual obligations in a previous business relationship.

              IV. D  Price of Work
 

       1.     GUMEX and the customer have agreed that the price of the work will be determined on the basis of GUMEX’s offer accepted by the customer.

 

              IV. E  Other Provisions
 

        1.     The provisions concerning payment terms, delivery terms, methods and cost of shipping and distribution of goods shall also apply as appropriate to the contract for work, unless agreed otherwise between the parties.
 

              V. Payment Terms

  1. Together with the price, the customer shall pay GUMEX the costs associated with the packing, insurance and delivery of goods (hereinafter “shipping costs”). Unless expressly specified otherwise, these shipping v shall hereinafter also be deemed to constitute the price of goods. A more detailed specification of shipping costs is provided in Article VIII below.

 

  1. GUMEX is a payer of value added tax (VAT).

 

  1. The price may be paid against an issued tax document:
  • in cash or by a payment card upon acceptance of goods on the premises,
  • by a payment order,
  • by cash on delivery.

 

  1. When paying the price of goods or of a work on the premises or by cash on delivery, GUMEX will hand over the invoice (tax document) to the customer together with the delivery of such goods or a work.

 

  1. When paying the price by a payment order, GUMEX will send the invoice to the customer by post, by e-mail or will hand it over together with the delivery of goods or handover of a work. The invoice is due within ten (10) days after issue. GUMEX reserves the right to request payment in this form before delivery of such goods or handover of such a work.

 

  1. Together with the tax document, GUMEX will also hand over to the customer the documents relating to the relevant goods or work (declaration of conformity, certificates, warranty certificate, etc.).

 

  1. If the customer is late with the payment of the price, GUMEX will have the right to charge the customer default interest equal to 0.1% of the amount due for each day of default or part thereof. The payment of default interest shall be without prejudice to the right of GUMEX to claim damages.

 

  1. Title to goods shall be acquired by the customer upon payment of the full purchase price of the goods. Title to a work shall be acquired by the customer upon acceptance of the work. The risk of damage to goods or to a work shall pass to the customer upon handover of the goods or work.

 

  1. According to the Act on Registration of Sales, GUMEX shall issue a receipt to the customer. At the same time, GUMEX shall register the sales revenue received with the tax administrator online; in the event of a technical failure, the revenue must be registered within 48 hours at the latest.

            VI.  Tolerances

 

  1. To ensure that products perform their required function and to guarantee their reliable operation, they must be manufactured to a certain degree of accuracy. Accuracy is expressed by a so-called (permissible) manufacturing deviation, which is often referred to as “tolerance”. If the actual dimension of a product lies in the so-called tolerance field, then the product will be considered to have been manufactured properly. By default, tolerance fields are specified in the drawing documentation. If the customer does not set any tolerances, then the customer will be deemed to have agreed to the tolerances defined below:

1) The length of hoses that are flexible is always measured in the stretched state.

2) A difference of up to 10% in the total quantity of ordered and physically delivered goods is acceptable and cannot be the subject of a complaint. Invoicing is based on the quantity actually delivered.

3) The accuracy of the technologies used (plotter and water jet) is approx. +/-0.15 mm. However, this accuracy does not consider other factors such as the type and homogeneity of the material to be cut, its thickness, thermal expansion, etc. Moreover, the roughness of the cut can be influenced by the cutting speed, the type of the knife used, etc.

 

  1. Dimensions that are not implemented within our production are subject to tolerances declared by our supplier of input material. They are available on the customer’s request.

 

 

          VII.  Documentation for Products and Services

 

          In the event that a customer requests the delivery of goods or services documentation other than the documentation the supplier is legally required to deliver, then the customer must specify this requirement in writing in a binding order.              Later, the request may not be satisfied. The customer may be charged for the supply of such documentation. In general, this includes various declarations, certificates, test reports, etc.

 

            VIII.  Delivery Terms

 

            VIII. A Place and Date of Delivery

  1. The place of delivery of goods or work is governed by the customer’s requirements, while the date of delivery is governed by the customer’s requirements and the limitations of GUMEX.
     
  2. Partial deliveries are admissible, unless agreed otherwise in the relevant contract.
     
  3. The delivery deadline will be extended accordingly in cases of delay due to reasons on the part of the customer or the manufacturer of the goods, as well as for any other unforeseeable reasons beyond the control of GUMEX. If any of the foregoing reasons occurs and GUMEX reasonably informs the customer about this situation, the customer shall not have the right to impose any sanctions on GUMEX for such delay.
     
  4. In the event of a delay in the delivery of goods due to reasons on the part of the customer or as required by the customer, GUMEX shall have the right to deal with the goods in a different manner and to supply the customer with substitute goods within a reasonably extended deadline along with a bill of storage costs. This right of GUMEX shall not apply if the customer has supplied for the execution of a work any item to which the customer has title.

 

  1. If the customer unreasonably refuses, albeit in part, any performance under a concluded contract or otherwise prevents GUMEX from fulfilling its contractual obligations, the customer shall pay GUMEX a contractual penalty of 5% of the purchase price of goods or the price of a work, unless subsequently agreed otherwise. The payment of the contractual penalty shall not affect the right of GUMEX to claim damages.
     
  2. GUMEX recommends that immediately upon delivery of goods the customer together with the carrier check the condition of the consignment against the enclosed delivery note. The customer may refuse to take delivery of any consignment that is e.g. incomplete or damaged. If the customer accepts the damaged consignment from the carrier, the customer shall describe the damage in the carrier’s handover certificate and immediately notify this fact to GUMEX. Failure to meet this obligation shall result in the termination of claims arising from defective performance.
     
  3. If the customer arranges for transport by their own carrier, it is necessary to specify the way of packing under par. VIII.B (d) and GUMEX shall not be liable for any damage caused to goods by a carrier not hired by GUMEX. Goods shall be deemed delivered upon their receipt by this carrier selected by the customer.
     
  4. Unless otherwise agreed in advance, the delivery terms shall be governed by the system of Incoterms 2010.

            VIII. B Types and Cost of Transport

  1. The choice of the carrier and the related protection of goods in transport to the place of delivery is determined and arranged for by GUMEX. The costs of packing, insurance and delivery of goods or a work (hereinafter “shipping costs”) shall be paid for by the customer at the rate in force at the time of ordering the goods, which rate is deemed to have been accepted by the customer by ordering such goods. Shipping costs are agreed by concluding a contract.
     
  2. Specific packaging: in case of specific – custom requirements of the customer for packaging and identification, it is necessary to supply to GUMEX the specifications necessary for preparing an offer for this service. GUMEX provides this service only based on an approved quotation and it must be already agreed upon when ordering goods. In these cases, the customer assumes liability for any risks related to any improperly used type of packaging.
  1. GUMEX provides the following options for delivery of goods:

       a) Personal collection on the GUMEX premises

    The customer may order and collect goods or a work on the GUMEX premises, unless the parties agree otherwise. GUMEX will confirm to the customer the date when the goods will be ready to be collected in person.
 

      b) Delivery of goods by GUMEX

 

   GUMEX can also offer the customer a delivery by using its own vehicles. The prices and deadlines for this method of transport are based on an agreement.

 

      c) Transport service

 Goods ordered on the GUMEX website that are in stock are usually despatched from stock on the next business day after receipt of the order. Shipping costs include the cost of standard packaging of the consignment and are          calculated based on the order value as follows:

   Shipping prices for customers paying in EUR are calculated according to the current exchange rate.

d) Shipping service – PPL Parcel Shop CZ (delivery points CZ)

This delivery method is offered for bulky goods and only when ordering through the GUMEX e-shop. If the item is in stock, it is usually shipped the next business day after the order is received. This method of delivery can only be used for the complete delivery of the order, i.e. does not allow to split the shipments of an already created order into items that are unavailable in stock. The cost of shipping includes the cost of standard packaging of the shipment and is offered based on the combination of value and weight of the order as follows:

e) Individual transport arrangements

To determine the method and price of transport for consignments with specific requirements that are by nature contrary to item 1, paragraph VIII.B, please contact the customer helpline of GUMEX. Examples include:

  • the method of packing specified in item 2, paragraph VIII.B,
  • collection of goods by one’s own carriers,
  • delivery outside the territory of the Czech Republic, etc.

In these cases, GUMEX will inform the customer about the price of packing by making an offer. Acceptance of the offer/order by the customer is an integral part of concluding a contract.

 

               IX. Personal Data Protection

 

  1. As part of providing goods and services, GUMEX may process the following personal data of customers and ordering parties:
  • Name, surname
  • E-mail address
  • Telephone number
  • Company ID No., Tax ID No.
  • Registered office address
  • Name of registered office
  • Data related to payment
  • Data related to delivery of the order

in accordance with the Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (hereinafter the “Regulation”) for the purpose of providing performance under the contract and for the purpose of registering the contract and any future exercise and defence of the rights and obligations of the parties. The storage and processing of personal data for the aforementioned purpose is for a period of eleven (11) years after completion of the last part of the performance under the contract, unless another legal regulation requires the preservation of the contractual documentation for a longer period. The above-mentioned processing is allowed under Art. 6 (1) (b) and Art. 6 (1) (f) of the Regulation.

  1. In the case of purchasing goods or ordering a work in person on the seller’s premises, GUMEX may request the following personal data from the customer or from the customer’s representative: name, surname, date of birth and name of the entrepreneur on whose behalf the individual purchases or orders the work. This personal data is processed in an affidavit to verify the identity of the buyer. Such processing is allowed under Art. 6 (1) (b) of the Regulation. The affidavit containing the aforementioned data will be kept by GUMEX for a period of two (4) years after completion of the affidavit.

 

  1. GUMEX declares that all personal data is confidential and will not be disclosed to any third party. Exceptions are carriers, to whom the personal data of customers is handed over in the minimum scope necessary for delivering the goods, and the following processors:
  • the provider of the information system Business Logic s.r.o.
  • the provider of the information system Helios Asseco Solution, a.s.
  • the provider of the marketing software Quanda International s.r.o.
  • the provider of the service B-inside s.r.o.
  • the provider of services for distribution of printed materials 5 P Agency, spol. s r.o.
  • possibly other providers of the processing software, services and applications, which, however, are not currently used by GUMEX.
     
  1. GUMEX will send business communications to the customer’s e-mail address (or telephone number), as this is allowed by Section 7 (3) of Act No. 480/2004 Coll., on Information Society Services, unless the customer refuses such communications. These communications may only relate to similar goods or services and may be unsubscribed at any time in a simple way – by sending a letter or an e-mail, by telephone or by clicking on a link in the relevant electronic message containing a business communication. The e-mail address and telephone number will be processed for this purpose by GUMEX for a period of three (4) years after the last purchase.
     

GUMEX will also send business communications in the form of printed materials (magazines, catalogues, information leaflets) to the customer’s postal address on the basis of the legitimate interest of GUMEX under Art. 6 (1) (f) the Regulation. The processing of postal address for the purpose of sending these printed materials can be challenged at any time in a simple way – by sending a letter or an e-mail or by telephone. Postal address will be processed for this purpose by GUMEX for a period of three (4) years after the last purchase.

 

  1. According to the Regulation, the Customer has the right:
  • to ask GUMEX for information about what personal data GUMEX processes and request a copy of such information,
  • to ask GUMEX for access to this data and have this data updated or corrected, or require processing restrictions,
  • to ask GUMEX for deletion of personal data - GUMEX will carry out this request, unless such deletion is contrary to par. 1 of this Article and the legitimate interests of GUMEX,
  • in case of any doubt about compliance with obligations concerning personal data processing, to contact GUMEX or the Office for Personal Data Protection, or to file a complaint with a court.


As a VAT payer, GUMEX must act in accordance with the requirements of Section 27 of the Act on Value Added Tax, No. 235/2004. Therefore, it is not possible to delete personal data stated in tax documents issued by GUMEX.

             X. Complaints

 

  1. The customer shall inspect goods or a work as soon as possible and check the properties and quantity thereof. If any goods become defective after their acceptance, the customer has the right to file a complaint with GUMEX about these defective goods. The defects shall be reported by the customer to the customer helpline by completing an on-line form on the company’s website or at any branch office without undue delay. The customer shall claim defects in goods at the latest within six (6) months after acceptance or delivery of such goods.

 

  1. When making a complaint, the customer shall state in particular the Company ID No. and the plant for which the goods were taken, the order number, the date of delivery of the goods, the type and quantity of the claimed goods, the reason for the complaint. The complaint procedure shall involve only the part of the goods that was delivered by the customer to GUMEX for the purposes of the complaint concerned. If the customer returns to GUMEX only a part of the goods delivered to the customer, the unsent part of the goods shall be deemed to have been delivered in perfect condition, unless agreed otherwise.
     
  2. GUMEX shall not be liable for defects in any goods if:
  • the customer knew about the defect upon acceptance and still accepted such goods
  • the defect in the goods was caused by the customer themselves by using the goods contrary to the instructions for their use and storage or contrary to the generally known rules for their use or storage, or in any other manner,
  • a discount off the price of goods was provided due to a defect in the goods,
  • the defect was caused by the wear of the goods by their normal use or by their improper or excessive use or after the service life of the goods,
  • the defect was caused by an unauthorized person’s intervention with the goods or any component thereof.
     
    1. GUMEX will process the complaint within sixty (60) days of the date when the complaint was filed by the customer, of which GUMEX will notify the customer by e-mail or telephone.
       
    2. In the event that a defect in any goods is not a material breach of the contract, the customer shall have the right to:
      • have the defect removed; or
      • receive a reasonable discount off the purchase price.
         
    3. In the event that a defect in any goods is a material breach of contract, the customer shall have the right to use one of the following options:
      • have the defect removed by delivery of new goods or by delivery of the missing goods,
      • have the defect removed by repair,
      • receive a reasonable discount off the purchase price; or
      • withdraw from the contract.

A material breach of contract means a defect which must have been known to GUMEX at the time of handover of the goods and, at the same time, which was not known to and could not have been foreseen by the customer. Otherwise, this is a non-material breach of contract.

  1. These provisions relating to complaints about goods shall apply as appropriate to complaints about works under contracts for work according to Article IV of these Terms and Conditions.

 

  1. The difference in shades of colours cannot be considered a defect due to the individual perception of colours. This shall not apply if a specific colour is specified for the product offered according to the RAL colour chart.

               XI. Repairs

  1. Repair means a set of operations by which the customer’s worn or damaged product is returned to a usable condition. A product to be repaired means a worn or damaged product that is no longer covered by the warranty period or that was purchased from a different seller. 

 

  1. In the event that a customer wishes to have their product repaired or replaced and provides the customer’s own components for repair, then the customer acknowledges that Gumex will not provide any warranty for these components, their quality or functionality. No complaint may be raised even in the case of subsequent latent defects.

 

  1. If the repair fails for technical or other reasons or if the customer withdraws from the contract, the product will be restored to its original state only if it is technically possible and Gumex can claim reimbursement of the costs associated with this activity.

 

  1. As part of the repair, Gumex undertakes to ecologically dispose of the replaced defective components at the customer’s expense, unless the customer requests the return of the defective components after the repair.

 

  1. The customer acknowledges that Gumex is not liable for any costs incurred in repairing the product, i.e. lost profits.

 

  1. Before commencing the repair operation, the customer shall confirm acceptance of these Terms and Conditions by handwritten signature of the submitted declaration.

 

              XII. Return of Purchased Goods

  1. Gumex allows its customers to return the purchased goods under the conditions set forth below. The return of goods is provided as a service to those who wish to use it voluntarily.

 

  1. The goods to be returned must be unused and complete and must be in a condition fit for resale.

 

  1. Goods may be returned within thirty (30) business days after the date of purchase.

 

  1. In the case of returning goods, Gumex may charge a fee of up to 20% of the selling price for catalogue goods and of up to 50% of the selling price for goods that are modified or made to measure.

 

  1. Gumex reserves the right to refuse the return of goods completely.

 

               XIII. Final Provisions

  1. More detailed specifications of individual products and services can be found in the printed and interactive catalogue of GUMEX. The interactive catalogue contains standard and some other supplied types of goods, extended technical information on products compared to the printed version and allows the customer to search for products according to the order code and selected specifications and easily check the current price of the product  (the website is updated every day).

 

  1. The technical support on the seller’s website contains technical information to help customers manage their applications. Original catalogue sheets of products, attestations and instructions for use are made available.

 

  1. GUMEX welcomes suggestions and comments on goods, the services offered and employees, which can be sent by customers to the customer helpline.

 

  1. These Terms and Conditions shall supersede and fully replace the text of the previous Terms and Conditions.

 

  1. These Terms and Conditions shall come into force and effect on 22th August 2022.
